Terms & Conditions
These Terms & Conditions (the "Terms") govern your use of WhatsChat. By registering for an account, connecting your WhatsApp Cloud API, or using any features of the Platform you agree to these Terms. If you do not agree, do not use the Platform.
1. Definitions
In these Terms: "Platform" means the WhatsChat web and API services; "Account" means a registered user account; "Campaign" means any messaging or advertising activity created through the Platform; "Leads" means categorized contacts supplied by the Platform; "Uploaded Contacts" means contact lists you import into the Platform.
2. Services provided
WhatsChat enables businesses to connect their WhatsApp accounts via the official WhatsApp Cloud API and to build, schedule and deliver message-based ad campaigns to either their uploaded contacts or categorized leads provided by WhatsChat. Services include campaign composition tools, CTA buttons, branded sender IDs, automatic translation, AI-driven automations, lead distribution (500+ fresh leads daily where eligible), analytics dashboards, developer API and webhooks.
3. Eligibility and verification
Use of certain Platform features (branded sender IDs, templates, large-scale distribution) requires business verification with Meta/WhatsApp. You are responsible for supplying accurate business information and cooperating with verification processes. TTNet LTD may suspend features or access pending verification or where compliance concerns arise.
4. Acceptable use policy
You must not use the Platform to send unlawful communications, unsolicited spam, scams, fraudulent offers, defamatory, abusive or pornographic content, or any content prohibited by Meta/WhatsApp or by applicable law. You must comply with OHADA and local Cameroonian requirements, including rules on consent and electronic messaging.
5. User responsibilities and content
You are fully responsible for campaign content, targeting, timing and consent. You warrant that you have the legal right to message any contacts you upload or target and that your campaigns comply with all laws and Meta policies. TTNet LTD does not pre-approve campaign content and disclaims liability for your chosen content and recipient responses.
6. Developer & API use
Developers may integrate with WhatsChat via documented APIs and webhooks. API keys are confidential and must not be shared. You must honour rate limits and security controls. Unauthorized scraping, reverse-engineering or bypassing controls is a material breach.
7. Fees, subscriptions and billing
Platform services are subscription-based. Subscription fees, billing cycles and payment methods are displayed on the checkout. By subscribing you authorize recurring charges. Suspension for non-payment may occur. Fees are non-refundable except as provided in the Refund Policy (10-day refund window).
8. Intellectual property
All Platform software, UI, tooling and documentation are the property of TTNet LTD. You retain ownership of your campaigns, uploaded contacts and creative assets. You grant TTNet LTD a limited licence to process and present your data as necessary to provide services.
9. Data protection & privacy
Use of the Platform is subject to the WhatsChat Privacy Policy (published separately). You agree to the privacy practices described therein and to the use of your data for operational purposes described in that policy.
10. Suspension, termination and remediation
TTNet LTD may suspend or terminate accounts for breaches, suspected unlawful use, repeated policy violations, failure to pay, or to comply with legal orders. On termination certain user data may be deleted subject to retention obligations and backups; TTNet LTD shall not be liable for business interruption or data loss in such circumstances except to the extent required by law.
11. Warranties, disclaimers and limitation of liability
The Platform is provided "as is" and "as available". TTNet LTD makes no warranties regarding uninterrupted service, specific conversion or business outcomes, or freedom from defects. To the maximum extent permitted by law, TTNet LTD's total liability shall be capped at the total subscription fees paid by you in the six (6) months preceding the claim. TTNet LTD shall not be liable for indirect, incidental, punitive or consequential damages.
12. Indemnity
You agree to indemnify TTNet LTD and its affiliates from third-party claims arising from your use of the Platform, content you send, breach of these Terms, or your violation of law.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Cameroon and the OHADA uniform acts where applicable. Disputes shall be resolved by the competent courts of Cameroon unless the parties agree otherwise in writing.
14. Changes to these Terms
We may modify these Terms from time to time. Material changes will be notified as required and posted with a new effective date. Continued use after notice constitutes acceptance.
